Job Description

The Authority Secretary is responsible for :

o All the legal affairs of the Authority and the provision of robust legal advise to the Board, Director General and
Executive Management and staff to enhance governance and minimise legal risk.
o The strategic direction of all legal and litigation matters involving the Authority’s operations and business;
o Overall compliance of the Authority with legal/regulatory requirements and policies and ensures effective and
efficient operation of the Board of Trustees;
o Providing thought leadership to the legal team and co-ordinating the operations of the directorate on a day to day
basis to ensure sound, robust, expert, cost effective legal and board support services are rendered to the Authority.
o Ensuring key decisions of the Board and Executive Management are accurately recorded and maintained in safe
custody.

Key Responsibilities

  • Determines, plans, establishes, directs and implements the legal Directorate’s strategy in line with the Authority’s short and long term strategic objectives and priorities.
  • Provides impartial legal counsel to the Board and its Committees to ensure compliance with the law, applicable policies and best corporate governance.
  • Provides strategic direction on all legal matters of the Authority and acts as a Chief Legal Advisor and central source of guidance to the Board, Management and Staff.
  • Identifies, analyses, interprets and advises Management and the Board on changes in the legal environment relevant to the Authority to ensure high levels of legal compliance in the operations of the Authority. 
  • Participates, oversees, and coordinates the negotiation of, standards of drafting, vetting, review, execution and implementation of different types of contracts involving the Authority to ensure enforceability of contracts and responsiveness to the Authority’s needs.
  • Analyses, devises strategies and coordinates the conduct of the legal claims, court proceedings and alternative dispute resolution involving the Authority; selection of external counsel and their performance to ensure effective resolution of legal matters at reasonable legal cost and; ensure overall reduction in the number of legal exposures to the Authority.
  • Ensures the operations of the Authority are carried out in compliance with the relevant and applicable legal, regulatory framework and internal policies. .
  • Develops, regularly reviews and coordinates the implementation of the Board Charters to ensure effective board operations and legal compliance. 
  • Plans and coordinates all Board activities; including attending to the  induction and continued education of all board members so that they are conversant  with their fiduciary responsibilities; the Authority’s Strategic Plan, the operations of the Authority,  the Board Charters Authority  policies, applicable laws and regulations; adherence to corporate governance; 
  • Coordinates the delivery of service by external lawyers, and monitor the performance of the lawyers to ensure service delivery to NAPSA meets the set legal objectives.
  • Represents the Authority and Directorate on various designated internal and external strategic operational and consultative committees to drive the Authority’s agenda and business objectives and enhance NAPSA compliance to all applicable laws and regulations.
  • Develops, maintains and manages relationships with various stakeholders in government, affiliate organisations, law firms and other partners and business associates.
  • Performs such other responsibilities designated by law or assigned by the Board of Trustees and/or the Director General.
  • Five (5) “O” Levels with credit and above including Mathematics and English.
  • LLB Degree.
  • Masters Degree in Law or business-related field.
  • Valid Practicing Certificate.
Key Competencies must include - 
  • Clear understanding of Pension and Investment laws.
  • High level experience in stakeholder management.
  • Ability to work under pressure and deliver.
  • Not less than ten (10) years’ experience in legal practice at a senior management level in an organisation of similar size or reputable law firm and with similar scope in legal complexity.
